These Terms of Service ("Terms") govern your access to and use of Sweive ("Sweive", "we", "us", or "our"), available at sweive.com and related services (the "Service"). By creating an account, submitting a post, funding a campaign, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Overview of the Service
Sweive is a performance-based content marketplace. Brands fund campaigns to have posts about their products or content distributed across social media. Creators publish posts to their own connected social accounts and earn money based on the verified views their posts generate. Sweive acts as the intermediary that verifies views, tracks performance, and facilitates payouts.
2. Eligibility and Accounts
- You must be at least 16 years old, or the age of majority in your jurisdiction, to use the Service.
- You must provide accurate information and keep your account credentials secure.
- You are responsible for all activity that occurs under your account.
- You may not create an account on behalf of someone else without authorization.
3. Connected Social Accounts
Creators may connect one or more social media accounts (such as TikTok, Instagram, YouTube, or Threads). You represent that you own or are authorized to use each connected account. Accounts must be verified before they can be used to submit posts. We may limit the number of accounts you connect and may suspend or remove an account if we cannot verify ownership or detect abuse.
4. Creator Responsibilities
- Publish posts only to accounts you control and that comply with the relevant platform's own terms.
- Follow each campaign's brief, content requirements, and any required tags or disclosures.
- Do not artificially inflate views or engagement through bots, paid view services, click farms, or any form of manipulation.
- Do not submit posts that infringe intellectual property, are unlawful, or violate platform rules.
- Submit accurate post URLs and the correct connected account for each post.
5. Brand Responsibilities
- Provide accurate campaign briefs, content assets, and rights to any materials you supply.
- Fund campaigns as agreed and review submitted posts within the applicable review window.
- Not use the Service to distribute unlawful, deceptive, or harmful content.
6. Campaigns, Views, and Verification
View counts and engagement metrics are retrieved from social media platforms and their APIs. Only verified views count toward earnings. We may re-check metrics over time, and figures may be adjusted as platforms update or correct their data. We reserve the right to review, flag, or reject any post that we believe violates these Terms or shows signs of fraudulent activity.
7. Fees and Payouts
- Creator earnings. Creators earn based on verified views at the campaign's CPM rate, calculated as (verified views ÷ 1,000) × CPM, paid from the campaign's payout pool until it is exhausted. No fee is deducted from creator payouts.
- Review window. Payouts are released after the applicable brand review window closes and the post is approved.
- Payment processing. Payouts are processed through our third-party payment provider, and you may need to complete identity or tax verification to receive funds. Minimum payout thresholds may apply.
8. Prohibited Conduct
You agree not to:
- Engage in view fraud, fake engagement, or any manipulation of campaign metrics.
- Submit content you do not have the rights to use.
- Misrepresent ownership of a social account.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service.
- Use the Service for any illegal, fraudulent, or abusive purpose.
9. Fraud Detection and Enforcement
We use automated and manual methods to detect suspicious activity. Posts may be assigned a risk score and flagged for review. We may, at our discretion, withhold payouts, reverse earnings, reject posts, suspend accounts, or terminate access where we reasonably believe these Terms have been violated or fraud has occurred.
10. Intellectual Property
Sweive and its branding, software, and content are owned by us or our licensors. You retain rights to the content you create and publish, but you grant Sweive a limited license to use post data, post URLs, and performance metrics as needed to operate the Service and provide reporting to brands.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee any specific level of views, earnings, or campaign performance, and we do not control the social media platforms whose data we rely on.
12. Limitation of Liability
To the maximum extent permitted by law, Sweive and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the fees you paid to us, or amounts paid to you, in the three months before the claim arose.
13. Indemnification
You agree to indemnify and hold Sweive harmless from any claims, damages, or expenses arising out of your content, your use of the Service, or your violation of these Terms or applicable law.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or for operational, legal, or security reasons. Provisions that by their nature should survive termination (including fees owed, disclaimers, and limitations of liability) will survive.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
